OpenAI plans to adjust its corporate structure to create "the best-resourced nonprofit organization"
On December 27, according to official news, the OpenAI board is evaluating the company structure with the goal of establishing a stronger nonprofit organization supported by a for-profit company. OpenAI stated that this plan will create one of the most well-resourced nonprofit organizations in history. OpenAI believes that the company structure must evolve to advance its mission of ensuring artificial general intelligence (AGI) benefits all humanity.
OpenAI plans to transform its existing for-profit company into a Delaware Public Benefit Corporation (PBC), with an independent financial advisor determining a fair valuation and transferring most shares to the nonprofit organization. This will significantly increase resources for the nonprofit organization. The PBC structure requires balancing shareholder interests, stakeholder interests, and public interest in decision-making. This will enable OpenAI to raise necessary capital on conventional terms while allowing the nonprofit organization to operate independently and focus on philanthropic endeavors such as healthcare, education, and science.
